The Charter of

South Gate Community Association, Inc.

KNOW ALL MEN BY THESE PRESENTS, That we, the undersigned, all of Sarasota County, Florida, do hereby associate ourselves together for the purpose of forming and creating a non-profit corporation, under and by virtue of the laws of the State of Florida, and for the purpose of forming and creating the same, hereby subscribe our names to this Character.

ARTICLE I

The name of this Corporation shall be SOUTH GATE COMMUNITY ASSOCIATION, INC., and its Main Office and principal place of business shall be in South Gate, Sarasota, Sarasota County, Florida.

ARTICLE II

The general nature of the objects of this Corporation shall be:

  1. To create an organization under the laws of Florida, not for profit, composed of real property owners, as hereinafter defined, of South Gate Subdivision, a subdivision of Sarasota County, Florida, in order that said real property owners may coordinate their efforts toward maintaining and beautifying said South Gate, and for the purpose of promoting social and recreational gatherings for its members, their families and friends, toward the end of cementing a good fellowship and a social cooperative spirit it this community.

  2. To establish rules and regulations governing qualifications of members, to fix rules and regulations for the admission, suspension and lapsing of membership, to fix the amount of membership fees, if any, to provide for the making and adoption of by-laws.

  3. To buy, own, hold, lease, sell, mortgage, or otherwise acquire and dispose of any and all kinds of real, and personal property which may be necessary or appropriate for the foregoing uses.

  4. The foregoing objects and powers shall net be construed as limitations, but this corporation shall have such other powers as are provided by the laws under which this Corporation organized.

  5. To appear before political subdivisions, commissions and administrative bodies in all matters effecting the interest of the South Gate Community Association, Inc.

ARTICLE III

The term "real property owners" shall include any person or corporation who is the Owner of a fee simple interest in real property in said South Gate Subdivision, a subdivision of Sarasota County, Florida, and where the fee simple interest is owned by the husband or the wife, instead of by the two of them jointly, the said term will nevertheless include both the husband and the wife.

ARTICLE IV

In addition to being a real property owner as herein defined, the qualifications of members, their manner of admission, the dues, if any, which they shall pay, their suspension and lapsing of membership, shall be governed by the by-laws of this Corporation, as the same are adopted, changed or amended from time to time.

ARTICLE V

This Corporation shall have perpetual existence or until it is legally dissolved.

ARTICLE VI

The names and residence of the subscribes of this charter are follows:

ARTICLE VII

The affairs of this corporation shall be conducted and managed by a President, not more than five (5) Vice-Presidents, Secretary and Treasurer, and a Board of Directors of not loss than five (5) and not more than fifteen (15) Directors, who shall be elected, qualified and hold office in accordance with the provisions of the by-laws of this corporation, as tho some are adopted, changed or amended from time to time, combining or separating, the office of Secretary and Treasurer, or increasing or decreasing the number of Directors who shall compose the Board of Directors abiding by the minimum and maximum number of directors, however.

ARTICLE VIII

The names of the Officers who shall conduct the affairs of this corporation until their respective successors are elected and qualified shall be:

ARTICLE IX

The names of the Directors of this Corporation who shall serve, until their respective successors are elected and qualified shall be:

ARTICLE X

The by-laws of this corporation shall be made, altered or amended by a majority vote, of the members of the organization having the right to vote and voting at any regular, adjourned or special meeting where there is a quorum; provided, however, that if such by-laws are3 to be made altered or amended at any special meeting, then a written notice setting forth such by-laws or amendments as are to be voted on, shall be mailed to the members, at least ten (10) days before the date of such special meeting.

ARTICLE XI

The highest amount of indebtedness or liability which the Corporation may at any time subject itself, shall be Five Hundred Thousand and No/100 ($500,000.00) Dollars, but never greater than two thirds of the assets of said corporation.

ARTICLE XII

The maximum amount in value of the real estate which the corporation may hold, subject always to the approval of the Circuit Judge shall be Five Hundred Thousand and No/100 ($500,000.00) Dollars.

Before me a Notary Public in and for the State of Florida, at Large, personally appeared to me well known and known to me to be the persons described in and who subscribed to the foregoing Charter of SOUTH GATE COMMUNITY ASSOCIATION, INC., and who after first having been duly sworn by me, severally acknowledged to and before me that they executed the same freely and voluntarily for the uses and purposes therein expressed, and each of the above make oath that they intend in good faith, to carry out the purpose and objects set forth in the foregoing Charter.
